Frequently Asked Questions

Why should I use the Jacobs Law Group for Philadelphia Commercial Litigation and/or Federal Court Commercial Litigation when I can use any large national law firm?

Great question! To be brief, we provide the same legal services provided by the large national law firms but with the personal service of a small firm. We return your phone calls. You know who is working on your file. You are not going to see meetings with 10 attorneys billing to your file. We pride ourselves on the work that we do. And we go the extra mile. We are always looking for ways to advance your business, not just represent you in a single matter.

I want a business divorce and to get rid of my business partner, can I lock her out?

Do nothing you may regret later in court. First, we need to review all of your agreements to know what you can or can't do. See us first before taking steps that may later cost you.

I have a shareholder dispute, I think one of my co-shareholder's is stealing from the company, what should I do?

This is probably an emergency situation that needs careful yet quick action. We can help you bring in a forensic accounting firm to quickly get to the heart of the matter and if necessary get into court overnight to help you save your company.

It's Friday and I have an emergency, can you get into court on an injunction?

Yes. We will analyze your case and if all the requirements can be met for injunctive relief, we can certainly get into court as quickly as is humanly possible. We know that emergencies arise at inopportune times and we have worked many a weekend and many a very late night for our clients. It's what we do.

I have a Federal Court commercial case that arises out of a breach of contract for very large damages but while I can pay the costs of the litigation, I cannot afford to pay hourly fees, will you take a case on a fee contingency?

Yes we will consider taking a commercial litigation contingency matter. In order to do so we must carefully review with you the merits of the case, the collectability of any judgment or settlement and evaluate the overall risks involved. If we believe that all the factors we require are met, we can work a case on a contingency or a partial contingency and partial hourly with a success fee.

I want to hire someone with a pre-existing non-compete agreement with restrictive covenants, can I hire him?

The answer is a definite "maybe" and depends on an examination of the written non-compete and the terms under which it was entered into. Restrictive covenants in general are very technical, and if the technical requirements were not met the non-compete may be unenforceable. We will be glad to meet with you to review the situation.

Do you do bankruptcy litigation such as preference litigation?

We cannot afford a full time General Counsel for our company but we have legal needs and do not want to use a full time national law firm. Do you ever act as outside General Counsel for a company?

Yes, we are outside general counsel to many businesses and handle their legal matters. As Pennsylvania corporate lawyers we are often called upon to draft corporate agreements, ranging from Mergers and Acquisitions, Employment Agreements, financial transactions, stock transactions, stock option plans, stock bonus plans, distributor agreements, license agreements, and so on.

I need a Pennsylvania business lawyer can you help me?

Yes. We focus our representations only on businesses, business owners and persons involved in business. Almost everything we do is connected to helping business owners and businesses succeed. In fact, we would rather tell you that we honestly feel a business deal is bad for you than do the deal and just collect the fees. The final decision on what you want to do, of course, is always yours.

Yes and no. We will look at commercial, securities or business oriented class actions and we are co-class counsel in a pending case here in Philadelphia. But we do not act as class counsel in personal injury, toxic tort, or pharmaceutical cases.
