Representative Matters

As a boutique business law firm the work that we do at the Jacobs Law Group is concentrated exclusively on business. The fact that we have a strict business-first focus, however, has not precluded us from handling a wide-range of matters within business law. In fact, our experience with complex commercial litigation and corporate/transactional matters is quite diverse.

To get a better idea of what we do on a daily basis and to see what we have done in the past please take a look at the following examples of our work:

    Commercial Litigation:
  • In a private arbitration action pending in New York the Firm represents a high technology company in claims against a Fortune 100 company for breaches of a distribution agreement with damages of in excess of thirty million dollars ($30.0+ MM).
  • In the United States District Court for the Eastern District of Pennsylvania the Firm represents a United States Bankruptcy Trustee in actions against the former Directors and Officers of a bankrupt company seeking recovery of millions of dollars in damages done to the company.
  • In an action pending in the Philadelphia County Court of Common Pleas, the Firm represents a former shareholder and employee of a biotechnology company in seeking damages of in excess of $500,000 for failure to pay wages, fraud and breach of contract. The firm also represents that same partner in claims asserted by the accounting firm against him.
  • In an action pending in the State Court of Florida the Firm represents a United States Bankruptcy Trustee in actions against the State appointed receiver of a company that was allegedly controlled by organized crime for a share of the proceeds recovered by the State appointed receiver.
  • In 2003-2004 the Firm represented a former customer of a bank in seeking damages for the failure to properly invest millions of dollars deposited with the bank in an escrow account and the bank’s failure to pay interest thereon. This case was settled out of court just before trial in 2004.
  • In an action pending in the United States District Court for the Eastern District of Pennsylvania the Firm represents an MRI company in the defense of claims brought by an equipment lessor for millions of dollars in alleged unpaid lease payments. The firm also represents the MRI Company in its counter claims for lender liability for millions of dollars.
  • In an action pending in the Philadelphia County Court of Common Pleas, the Firm represents an internationally renowned architectural and design firm in the defense of a claim brought by a contractor working on the Philadelphia Eagles training facility.
  • In an action pending in the Philadelphia County Court of Common Pleas, the Firm represents an international apparel company in collection of a debt associated with the demise of the “XFL”.
  • In an action to be filed shortly the Firm will be representing a trust in pursuit of securities claims against numerous defendants for actions/inactions that prevented the plaintiff from selling its shares on the public markets during a time when the company’s stock was dropping precipitously. Damages are believed to be in excess of ten million dollars ($10.0+ MM).
  • In an action pending in the United States District Court for the Eastern District of Pennsylvania the Firm represents a software developer in claims of copyright infringement against a former customer. Damages of in excess of $1.0 MM are sought.
  • Corporate/Transactional:

  • The Firm represented an international company in the settlement of claims for alleged breaches of an international contract by formulating a new contract for new services and restructuring other matters. The settlement value of which is in excess of five million dollars ($5.0 MM).
  • The Firm represented a real estate investor in closing on the purchase of multi-million dollar manufacturing site.
  • The Firm represented a high technology company in restructuring its capital structure and financial obligations.
  • The Firm represented a cellular retailer in securing approval from a national carrier to be able to transfer its customer base.
  • The Firm represented a high technology company in restructuring its capital structure to allow for the entry of new shareholders, investors and for the issuance of a new class of shares for an acquisition.
  • The Firm represented an international company in connection with the sale of shares in a US entity to a foreign corporation.
  • The Firm represented two partners of a multi million-dollar real estate development company in the acquisition of the interests of other partners in the project.
  • The Firm represents a number of clients in general corporate matters, including: a mortgage broker, a manufacturer, a cellular retailer, an accounting firm, a furniture distributor, and a high-tech gaming equipment company.
  • The Firm represents numerous artists and entertainers in connection with recording contracts, endorsements, product lines, record deals, publishing and the like.
